keyx — TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of keyx, a digital service operated by:

keyx is available at keyx.pro and through related interfaces, applications and services operated by Neptune Venture Studio Ltd ("keyx", "we", "us" or "our").

By creating an account, accessing or using keyx, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use keyx.

1. ABOUT keyx

keyx provides a digital interface that allows users to receive and send USDC on the Arbitrum network.

keyx is designed to make the transfer of USDC between compatible blockchain addresses and keyx users simple and accessible.

Depending on the services available to you, keyx may allow you to:

• create or access a personal USDC address;
• receive USDC from another Arbitrum address;
• send USDC to another Arbitrum address;
• send USDC to another keyx user using their registered email address;
• receive USDC from another keyx user;
• view transaction and account information;
• use other features that may be introduced by keyx from time to time.

keyx currently supports USDC on the Arbitrum network.

keyx does not currently provide a platform for trading cryptocurrencies against one another, investment products, leveraged trading, derivatives or other investment services.

2. keyx IS NOT A BANK

keyx is not a bank and your USDC balance is not a bank deposit.

USDC held or transferred through keyx:

• is not a fiat currency bank deposit;
• is not covered by the UK Financial Services Compensation Scheme (FSCS) merely by virtue of being accessible through keyx;
• does not constitute a savings account;
• does not earn interest through keyx unless a separate service expressly states otherwise;
• is not guaranteed by Neptune Venture Studio Ltd.

keyx does not represent that USDC is equivalent to a bank account, electronic money account or government-backed currency.

3. CRYPTOASSETS AND USDC

USDC is a cryptoasset issued by a third party and is not issued by Neptune Venture Studio Ltd.

keyx does not control the issuance, redemption, reserves, value or operation of USDC.

The value of USDC may be affected by circumstances outside keyx's control, including changes involving its issuer, reserves, regulatory status, blockchain infrastructure, market conditions or other third parties.

You are responsible for understanding the characteristics and risks associated with USDC before using keyx.

4. BLOCKCHAIN NETWORK

keyx currently uses the Arbitrum network for USDC transactions.

Blockchain transactions are fundamentally different from traditional bank transfers.

Once a blockchain transaction has been submitted and confirmed, it may be impossible to reverse, cancel or recover it.

You are solely responsible for verifying:

• the recipient;
• the recipient's blockchain address;
• the network;
• the amount;
• the asset being transferred.

Sending USDC to an incorrect address, unsupported network or incompatible wallet may result in permanent loss of funds.

keyx is generally unable to reverse or recover an incorrectly executed blockchain transaction.

5. YOUR keyx ADDRESS

When you create a keyx account, the service may provide or enable access to a personal blockchain address through infrastructure provided by third-party technology providers.

Your keyx address is intended to allow you to receive and send supported cryptoassets.

You must not represent your keyx address as a bank account or as an account capable of receiving assets other than those expressly supported by keyx.

Only send supported assets through supported networks.

keyx may reject, restrict or suspend transactions involving unsupported assets, networks, addresses or transaction types.

6. THIRD-PARTY INFRASTRUCTURE

keyx relies on third-party infrastructure and technology providers in order to provide certain aspects of the service, including wallet infrastructure, blockchain connectivity, authentication and transaction processing.

This may include Privy and other providers selected by keyx.

Third-party services are subject to their own technical infrastructure, availability, terms and policies.

keyx is not responsible for failures caused exclusively by a third-party provider, blockchain network, infrastructure provider, wallet technology provider or other external service, although we may take reasonable steps to assist users where appropriate.

7. ACCOUNT ACCESS

You may be required to authenticate using your email address or another authentication method supported by keyx.

You are responsible for maintaining the security of the devices, email accounts, authentication credentials and other means used to access your keyx account.

You must immediately notify keyx if you believe that:

• your account has been accessed without your permission;
• your authentication credentials have been compromised;
• your device has been lost or compromised;
• you have identified suspicious activity involving your account.

keyx may temporarily restrict access where reasonably necessary to protect users, the service or the wider ecosystem.

8. NON-CUSTODIAL NATURE AND USER CONTROL OF FUNDS

keyx does not hold or custody Users' funds or private keys and cannot access, block, freeze, revoke or otherwise dispose of funds held at the relevant addresses. The addresses and associated keys are managed through Privy's technology infrastructure and remain under the User's control.

The User may export their private key using the tools provided by the technology provider and may use the same address with compatible third-party services, including after termination of the keyx service.

The User is responsible for their login credentials and any exported private keys. keyx cannot recover or restore access to funds if such credentials or keys are lost.

9. TRANSACTIONS

When you request a transaction, you authorise keyx and the relevant underlying infrastructure to process that transaction according to the instructions you provide.

Before confirming a transaction, you should carefully verify all transaction details.

A transaction may pass through several stages, including:

1. transaction request;
2. transaction submission;
3. blockchain confirmation;
4. completion.

A transaction displayed as pending may take time to complete depending on blockchain conditions and third-party infrastructure.

keyx does not guarantee that a transaction will be confirmed within a particular period.

10. TRANSACTION FEES

keyx currently charges a service fee for certain transactions.

The current fee is calculated according to the transaction amount and may range from:

0.30 USDC to 1.90 USDC per applicable transaction.

The applicable fee will be displayed to you before you confirm a transaction where technically possible.

The fee is intended to cover the costs associated with operating and maintaining the keyx service, including infrastructure and transaction-related costs.

keyx may change its fee structure from time to time.

Any applicable fee applicable to a transaction will be communicated before confirmation, unless the nature of the transaction or technical circumstances make prior display impossible.

Blockchain network fees or third-party charges may also apply where applicable. Where reasonably possible, such costs will be included in or disclosed alongside the transaction cost.

11. NO CHARGE FOR RECEIVING USDC

keyx may allow users to receive USDC without charging a keyx service fee.

However, blockchain network costs may be incurred by the sender or by other parties depending on how the transaction is initiated.

keyx may modify its receiving-fee policy in the future.

12. TRANSACTION LIMITS

keyx may introduce limits relating to:

• individual transactions;
• daily or periodic transaction volumes;
• account activity;
• deposits or withdrawals;
• account balances;
• specific jurisdictions;
• specific users or transaction types.

Limits may be introduced or changed for operational, security, compliance, risk-management or regulatory reasons.

Where reasonably possible, applicable limits will be communicated through the keyx interface.

13. PROHIBITED USE

You may not use keyx for any unlawful purpose.

You must not use keyx to:

• facilitate fraud;
• launder money;
• finance terrorism;
• evade sanctions;
• facilitate criminal activity;
• deceive or defraud another person;
• receive or transfer assets connected with unlawful activity;
• interfere with the operation or security of keyx;
• attempt to gain unauthorised access to another user's account;
• exploit vulnerabilities in keyx or its infrastructure;
• use automated systems to abuse or overload the service;
• use keyx in breach of applicable laws or regulations.

keyx may restrict or terminate accounts where we reasonably believe that prohibited activity has occurred or may occur.

14. COMPLIANCE AND VERIFICATION

Depending on the user's jurisdiction, transaction characteristics, applicable law and the development of the keyx service, keyx may be required to obtain additional information from users or perform identity, sanctions, fraud, transaction or other compliance checks.

You agree to provide accurate and complete information when reasonably requested.

Failure to provide requested information may result in a restriction or suspension of your account or transactions.

keyx may also be required to share information with competent authorities, law-enforcement bodies or other legally authorised parties where required by applicable law.

15. RESTRICTED JURISDICTIONS

keyx may restrict or prohibit access to the service in certain countries or territories.

You are responsible for determining whether your use of keyx is permitted under the laws applicable to you.

keyx may refuse access or transactions where providing the service would violate applicable law, sanctions, regulatory requirements or internal risk controls.

16. USER RESPONSIBILITIES

You agree that:

• you are legally entitled to use keyx;
• information you provide is accurate;
• you will use keyx only for lawful purposes;
• you will not allow another person to use your account where prohibited;
• you will verify transaction details before confirming transfers;
• you will maintain appropriate security of your access credentials and devices;
• you will comply with all laws applicable to you.

You are responsible for any taxes, reporting obligations or other legal obligations arising from your use of cryptoassets.

keyx does not provide tax, legal, accounting or investment advice.

17. NO INVESTMENT ADVICE

keyx is a technology service for sending and receiving supported cryptoassets.

Nothing on keyx constitutes:

• investment advice;
• financial advice;
• tax advice;
• legal advice;
• a recommendation to buy, sell or hold any cryptoasset;
• a guarantee concerning the future value of any cryptoasset.

You make your own decisions regarding the use of your cryptoassets.

18. CRYPTOASSET RISKS

You acknowledge that using blockchain technology involves risks, including but not limited to:

• loss of funds;
• irreversible transactions;
• private-key or account-access risks;
• blockchain network failures;
• congestion;
• smart-contract vulnerabilities;
• cyberattacks;
• fraud;
• changes in regulation;
• changes affecting USDC or its issuer;
• technical failures;
• third-party service interruptions;
• changes in blockchain protocols;
• loss of access to an account or wallet.

You use keyx at your own risk.

19. SERVICE AVAILABILITY

We aim to keep keyx available and operational, but we do not guarantee uninterrupted availability.

The service may be temporarily unavailable because of:

• maintenance;
• software updates;
• blockchain network problems;
• security incidents;
• third-party infrastructure failures;
• technical problems;
• regulatory requirements;
• events outside our reasonable control.

We may temporarily suspend individual features or the entire service where reasonably necessary.

20. SECURITY

keyx implements reasonable technical and organisational measures designed to protect the service and user information.

However, no internet-connected system, blockchain infrastructure or digital wallet technology can be guaranteed to be completely secure.

You acknowledge that security risks may exist despite reasonable security measures.

You should never disclose passwords, authentication codes, recovery information or other sensitive credentials to another person.

keyx will not ask you to send USDC to an individual wallet in order to "verify" your account.

21. LOSS, THEFT AND UNAUTHORISED TRANSACTIONS

If you believe that a transaction was not authorised by you, you should contact keyx support as soon as possible.

keyx will investigate reported incidents where reasonably possible.

However, due to the nature of blockchain transactions, keyx cannot guarantee that funds involved in an unauthorised or fraudulent transaction can be recovered.

Where the transaction has already been confirmed on the blockchain, reversal may be technically impossible.

22. SUSPENSION AND TERMINATION

We may suspend, restrict or terminate your access to keyx where reasonably necessary, including where:

• you breach these Terms;
• we suspect fraud or unlawful activity;
• required by law or a competent authority;
• sanctions or compliance requirements apply;
• a security risk exists;
• a third-party provider requires suspension;
• continued access could expose keyx or another user to material risk.

Where legally and operationally possible, we will provide appropriate information regarding the reason for a restriction.

Termination of access does not automatically cancel blockchain transactions that have already been confirmed.

23. INTELLECTUAL PROPERTY

keyx, its software, design, branding, interface, content, trademarks, logos and related materials are owned by or licensed to Neptune Venture Studio Ltd.

You receive a limited, personal, non-exclusive and non-transferable right to use keyx in accordance with these Terms.

You may not copy, modify, reproduce, distribute, reverse engineer or commercially exploit keyx or its proprietary components except where permitted by law.

24. THIRD-PARTY LINKS AND SERVICES

keyx may contain links or integrations with third-party services.

Third-party services are governed by their own terms and privacy policies.

Neptune Venture Studio Ltd does not control and is not responsible for third-party services, their availability, security, content or policies.

25. PRIVACY

Your use of keyx is also governed by the keyx Privacy Policy.

The Privacy Policy explains how personal data is collected, used, stored and processed.

The Privacy Policy forms part of the overall legal framework governing your use of keyx.

26. DISCLAIMERS

To the maximum extent permitted by applicable law, keyx is provided on an "as available" basis.

We do not guarantee that:

• the service will always be available;
• transactions will always be processed successfully;
• transactions will be confirmed within a particular time;
• the service will be free from errors;
• third-party infrastructure will remain available;
• USDC will maintain its intended value;
• blockchain networks will operate without interruption;
• funds can always be recovered following an error or unauthorised transaction.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.

27. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Neptune Venture Studio Ltd shall not be liable for indirect, incidental, special or consequential losses arising from your use of keyx, including losses resulting from:

• blockchain network failures;
• incorrect recipient information supplied by you;
• unsupported transactions;
• loss of access credentials;
• third-party service failures;
• market movements;
• USDC-related events;
• regulatory changes;
• cyberattacks or events outside our reasonable control.

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot legally be limited or excluded.

28. INDEMNITY

To the extent permitted by applicable law, you agree to indemnify Neptune Venture Studio Ltd against reasonable losses, claims, liabilities, costs and expenses arising from your unlawful use of keyx, your breach of these Terms or your violation of the rights of another person.

This provision does not apply to the extent that the relevant loss was caused by our own fraud, wilful misconduct or liability that cannot legally be excluded.

29. CHANGES TO THESE TERMS

We may update these Terms from time to time.

When material changes are made, we may provide notice through the keyx website, application or other appropriate means.

The updated Terms will become effective on the date specified in the updated version.

Your continued use of keyx after the effective date constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

30. CHANGES TO THE SERVICE

keyx may add, modify, suspend or remove features from the service.

This may include changes to:

• supported assets;
• supported blockchain networks;
• transaction methods;
• account features;
• transaction limits;
• fees;
• third-party integrations.

Where reasonably possible, we will provide advance notice of material changes.

31. GOVERNING LAW

These Terms and any contractual or non-contractual dispute arising from them shall be governed by the laws of England and Wales, unless mandatory provisions of the law applicable to a consumer require otherwise.

Nothing in these Terms limits any mandatory consumer rights that cannot lawfully be excluded.

32. DISPUTES

If you have a complaint or dispute, we encourage you to contact keyx first so that we can attempt to resolve the matter informally.

For matters specifically concerning support or transactions, keyx may provide a dedicated support channel through the service.

Where applicable law provides consumers with additional dispute-resolution rights, those rights remain unaffected.

33. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable.

The remaining provisions shall continue in full force and effect.

34. ENTIRE AGREEMENT

These Terms, together with the keyx Privacy Policy and any additional terms expressly presented to you for specific keyx services, constitute the agreement between you and Neptune Venture Studio Ltd concerning your use of keyx.
